Steps of establising an s.r.o. (LLC) in Czech Republic

Deciding on the company details
You need to decide on company details:
Company name (must be unique and include “s.r.o.” or “spol. s r.o.”)
Business address in the Czech Republic*
List of shareholders (1 or more, can be individuals or companies)
Executive directors (jednatelé) – at least 1
Scope of business (you need to choose the the business activities from the list of trades (živnosti))
Registered capital (minimum is CZK 1 per shareholder, but usually more is used for credibility)
* you can opt for a virtual business address, as a separate service.

Preparation of company documentation
We prepare Memorandum of Association (LLC with multiple shareholders) or Deed of Foundation (LLC with one shareholder) and get the company registered with a notary. We accompany you to the notary or do it without your presence based on a Power of Attorney (POA).

Registration in Commercial Register
Your company is registered in the Commercial Register and we proceed with registration in Trade Register and obtaining trade licenses indicated in the incorporation documents.

Obtaining a company ID number (IČO)
Once registered, the court assigns an IČO – company identification number. You can start operating as a legal entity.

Opening of a bank account
At this moment you open a bank account, so you can start invoicing.

Tax Office :
registration for corporate tax within 15 days of company formation;
apply for VAT number if required (not mandatory unless you exceed turnover or work cross-border)
Social Security & Health Insurance (if employing people)
Optional: Intrastat, Customs, or other registries if needed

The notary fee is the cost of having company formation documents officially verified and authenticated by a licensed notary public in the Czech Republic. This includes the notarization of the founding deed (or articles of association) and confirmation of the managing director's declaration of consent. Notarization is a legal requirement for registering a limited liability company (s.r.o.) in the Czech Commercial Register. The notary ensures that the documents comply with Czech legal standards, that the parties are properly identified, and that their signatures are valid.
